1. Who We Are

CTRLGrid ("we," "us," or "our") provides network performance testing software. Our contact address is [email protected]. This Privacy Policy explains how we handle information when you visit our website or use our software.

2. Information We Collect

We collect only the minimum information required to operate:

• Purchase information — When you buy a license, our payment processor (LemonSqueezy) collects your name, email address, and payment details. We receive only your email address and license record.
• Support communications — If you contact us for support, we retain the content of those communications to resolve your issue.
• Website analytics — We may collect aggregate, anonymized data about page visits (e.g., page views, referrer source) using privacy-respecting tooling. No individual profiles are built.

3. What We Do Not Collect

The CTRLGrid application runs entirely on your local hardware. We do not collect, transmit, or have access to:

• Network test results, throughput data, or performance metrics
• IP addresses, hostnames, or topology information from your tests
• Packet capture data or security scan output
• Configuration files or device inventories
• Any data generated or stored by the application

4. How We Use Your Information

The limited information we hold is used solely to:

• Deliver and activate your software license
• Send transactional emails (purchase confirmation, license key delivery)
• Respond to support requests you initiate
• Notify you of critical security updates or license renewals

We do not sell, rent, or trade your information to any third party. We do not use your information for advertising.

5. Third-Party Services

We use a small number of trusted third-party services:

• LemonSqueezy — payment processing and license management. Their privacy policy governs payment data.
• Email delivery provider — transactional email only. No marketing lists.

6. Data Retention

We retain your email address and license record for the duration of your license and for a reasonable period thereafter for legal and accounting purposes. You may request deletion at any time by contacting [email protected].

7. Security

We use industry-standard security practices to protect the limited data we hold. Access to customer records is restricted to personnel who need it to perform their role.

8. Your Rights

Depending on your jurisdiction you may have the right to access, correct, or delete personal data we hold about you. To exercise any of these rights, contact us at [email protected]. We will respond within 30 days.

9. Changes to This Policy

We may update this Privacy Policy from time to time. The effective date at the top of this page will reflect the most recent revision. Continued use of CTRLGrid after changes are posted constitutes acceptance of the updated policy.

1. Acceptance

By downloading, installing, or using CTRLGrid ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Software. These Terms apply to all users, including free license holders and paid subscribers.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or your organization. By accepting these Terms you represent that you meet these requirements.

3. License Grant

Subject to your compliance with these Terms and, where applicable, the License Agreement, CTRLGrid grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your internal business or personal purposes in accordance with the plan you have selected.

4. Acceptable Use

You agree to use the Software only on networks and systems for which you have explicit authorization. You must not:

• Run tests against networks, systems, or devices you do not own or have written permission to test
• Use the Software to conduct unauthorized security assessments, penetration tests, or network reconnaissance
• Attempt to circumvent, disable, or interfere with any licensing, authentication, or access-control mechanisms
• Reverse engineer, decompile, or disassemble the Software except where expressly permitted by applicable law
• Redistribute, sublicense, sell, or transfer the Software or your license to any third party without our prior written consent
• Use the Software in any manner that violates applicable local, national, or international laws or regulations

5. Free License

The Free License grants access to one-to-one iperf3 testing functionality only. Features marked as Premium in the documentation or interface are not included. We reserve the right to modify or discontinue the Free License tier at any time with reasonable notice.

6. Paid Subscriptions

Premium licenses are billed annually and managed through LemonSqueezy. You authorize us to charge the applicable fees at the start of each billing period. You may cancel at any time; your license remains active through the end of the current paid period. We do not offer refunds except where required by applicable consumer protection law.

7. Intellectual Property

CTRLGrid and all associated trademarks, logos, and software are the exclusive property of CTRLGrid and its licensors. Nothing in these Terms transfers any intellectual property rights to you beyond the limited license explicitly granted herein.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CTRLGRID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF YOUR USE OR INABILITY TO USE THE SOFTWARE.

IN NO EVENT SHALL CTRLGRID'S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).

10. Indemnification

You agree to indemnify, defend, and hold harmless CTRLGrid and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Software, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Software immediately, without prior notice, if you breach these Terms. Upon termination, all licenses granted to you will cease. Provisions that by their nature should survive termination will do so.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify active license holders of material changes by email. Continued use of the Software after the effective date of updated Terms constitutes acceptance.

1. Definitions

• "Software" means the CTRLGrid application, including all binaries, source files, documentation, and updates provided under this Agreement.
• "License Key" means the unique alphanumeric string issued to you upon purchase that activates Premium features of the Software.
• "Seat" means a single authorized installation of the Premium Software on one device used by one individual.
• "Free License" means access to the Software without a License Key, limited to one-to-one iperf3 testing functionality.
• "Premium License" means a paid annual subscription that activates the full feature set of the Software for the number of Seats purchased.

2. Grant of License

Free License. CTRLGrid grants you a perpetual, non-exclusive, non-transferable, revocable license to install and use the Free tier of the Software on any number of devices solely for your own internal use, subject to the restrictions in this Agreement.

Premium License. Upon purchase and activation of a valid License Key, CTRLGrid grants you a non-exclusive, non-transferable license to install and use the full Software on the number of Seats specified in your order for the duration of your paid subscription period.

3. License Key Terms

• Your License Key is personal to you and may not be shared, resold, sublicensed, or transferred to any other individual or entity.
• License Keys are hardware-assisted and may be deactivated if used on an excessive number of devices beyond your purchased Seat count.
• If you believe your License Key has been compromised, contact [email protected] immediately for a replacement.
• License Keys for annual subscriptions expire at the end of the subscription period. Renewal is required to continue accessing Premium features.

4. Permitted Uses

• Install and use the Software on devices you own or control, up to your Seat limit
• Create and retain copies of test reports and output data generated by the Software
• Use the Software for internal business purposes, client engagements, or personal projects
• Make one archival backup copy of the Software binaries for disaster recovery purposes

5. Restrictions

You may not:

• Copy, modify, merge, publish, distribute, sublicense, or sell copies of the Software
• Reverse engineer, decompile, or disassemble any part of the Software, except where required by applicable law
• Remove or alter any proprietary notices, labels, or marks in the Software
• Use the Software to create a competing product or service
• Circumvent or disable any licensing enforcement mechanism within the Software
• Use the Software on networks or systems you are not authorized to test

6. Ownership

CTRLGrid retains all ownership and intellectual property rights in and to the Software. This Agreement does not convey to you any interest in or to the Software, but only a limited right of use that is revocable in accordance with the terms herein. All rights not expressly granted are reserved by CTRLGrid.

7. Your Data

Test results, configuration files, reports, and all other data generated by your use of the Software belong to you. CTRLGrid has no access to, ownership of, or rights over any data created or stored by the Software on your devices.

8. Updates and Support

Premium License holders receive all Software updates released during their active subscription period. Updates are provided at CTRLGrid's discretion and may add, modify, or remove features. Free License holders receive updates at CTRLGrid's discretion, which may be less frequent or feature-limited.

Support is provided to Premium License holders via email at [email protected]. Community support is available to Free License holders.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. CTRLGRID EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10. Limitation of Liability

IN NO EVENT WILL CTRLGRID BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND ARISING FROM THIS AGREEMENT OR YOUR USE OF THE SOFTWARE. CTRLGRID'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Term and Termination

This Agreement is effective until terminated. CTRLGrid may terminate this Agreement immediately if you fail to comply with any term herein. Upon termination you must cease all use of the Software and destroy all copies in your possession. Sections 6, 7, 9, and 10 survive termination.

12. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and CTRLGrid with respect to the Software and supersedes all prior or contemporaneous understandings and agreements.
